Service Description
OfficeAdmin is a hosted business operations and double-entry bookkeeping platform for contractors and other businesses.
The service includes tools for financial records, projects, estimating, invoicing, payments, reporting, documents, and other business workflows. Features may vary by plan and may change as the service develops.
Account Terms
To use the service, you must:
- Be legally able to enter into these Terms.
- Provide accurate and complete registration information.
- Keep your account credentials secure and take responsibility for activity performed through your account.
- Use OfficeAdmin only for organizations and data you are authorized to manage.
Contact team@officeadmin.io if you suspect unauthorized access to your account.
Subscription and Payment
OfficeAdmin may offer free and paid subscription plans. Current plan features and pricing are shown on the OfficeAdmin pricing page when paid billing is available.
- Paid subscriptions are billed in advance on the billing interval you choose.
- Subscription payments are processed by Stripe and are subject to Stripe's applicable terms and policies.
- Taxes, if required, may be added to subscription charges based on applicable law and the information provided for your account.
- We will provide reasonable advance notice of material pricing changes that affect an active paid subscription.
Cancellation and Refunds
When paid plans are offered, the cancellation, renewal, and refund terms that apply to a subscription will be disclosed before purchase and on the applicable billing or pricing surface.
Nothing in these Terms limits any refund or cancellation right required by applicable law.
Acceptable Use
You agree not to use the service to:
- Engage in unlawful activity or process data unlawfully.
- Attempt to gain unauthorized access to the service, another account, another organization's data, or connected systems.
- Disrupt, overload, probe, or interfere with the service.
- Transmit malware or other harmful code.
- Use the service to violate the rights of another person or entity.
Accounts may be suspended or terminated when reasonably necessary to address abuse, security risk, nonpayment, or a material violation of these Terms.
Intellectual Property
- The OfficeAdmin software, service design, brand, logos, and hosted service are owned by Michael Shaffer or used under applicable license. All rights not expressly granted are reserved.
- Your data remains yours. You retain ownership of the business and bookkeeping data you enter into OfficeAdmin.
- You grant OfficeAdmin the limited rights needed to host, process, transmit, back up, and display your data solely to provide and protect the service.
Data Protection
Our handling of personal information is described in the Privacy Policy.
When an organization enters personal information about its own customers, employees, vendors, or other contacts, that organization is responsible for having the authority and legal basis to provide and use that data. OfficeAdmin processes that information to provide the service on the organization's behalf.
No Professional Advice
OfficeAdmin provides software tools and does not provide legal, tax, accounting, payroll, employment, or other professional advice. You are responsible for reviewing your records, settings, filings, and business decisions and for obtaining professional advice when appropriate.
Service Availability
We work to keep OfficeAdmin available and reliable, but the service is provided on an "as available" basis. Maintenance, third-party outages, security incidents, or other events may occasionally interrupt access. We may modify or discontinue features as the product evolves.
Limitation of Liability
To the maximum extent permitted by applicable law, Michael Shaffer's aggregate liability arising from or relating to the OfficeAdmin service will not exceed the fees you paid for OfficeAdmin during the 12 months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by applicable law, OfficeAdmin and Michael Shaffer are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, business opportunities, or data.
Nothing in these Terms excludes or limits liability or rights that cannot legally be excluded or limited under applicable law.
Termination
You may stop using OfficeAdmin and close your account subject to any outstanding payment obligations. We may suspend or terminate access for material breach, nonpayment, abuse, security risk, or where necessary to comply with law.
When reasonably practical, we will provide advance notice before a termination that is not caused by breach, abuse, security risk, or legal requirement. Data retention and deletion are governed by the Privacy Policy and any applicable legal obligations.
Dispute Resolution
If a dispute arises, contact team@officeadmin.io first so we can try to resolve it informally.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any mandatory rights that apply in your jurisdiction, disputes that proceed in court will be brought in a state or federal court located in Los Angeles County, California.
Changes to Terms
We may update these Terms as OfficeAdmin changes. When a change is material, we will provide reasonable notice through the service, by email, or both before the change takes effect when required by law.
General
- If any provision is found unenforceable, the remaining provisions stay in effect.
- A failure to enforce a provision is not a waiver of that provision.
- These Terms and the Privacy Policy form the agreement between you and Michael Shaffer regarding your use of the OfficeAdmin hosted service, unless a separate written agreement applies.
